Service Agreement

Provision of Services Under this agreement

 A)    N & Z Building Ltd T/A Anchor Workforce Solutions Ltd (“N & Z Building Ltd T/A Anchor Workforce Solutions Ltd”) provides an outsourced arrangement for payroll. In this arrangement set out in this agreement, N & Z Building Ltd T/A Anchor Workforce Solutions Ltd are responsible for the employment of the staff of The Client except as set out below.

B) N & Z Building Ltd T/A Anchor Workforce Solutions Ltd shall remain responsible for the supervision direction and control of all staff under this agreement.

C) Provision of Auto Enrolment Services – N & Z Building Ltd T/A Anchor Workforce Solutions Ltd shall become responsible for compliance with Auto Enrolment, the costs shall be passed onto The Client at the rates set out by The Pension Regulator with no additional costs to the employer

D) Benefits – N & Z Building Ltd T/A Anchor Workforce Solutions Ltd can provide bespoke benefits package and the costs of any benefits selected will be passed onto The Client at cost

E) Insurance – N & Z Building Ltd T/A Anchor Workforce Solutions Ltd is required to hold employment liability insurance and copies will be provided. The Client may also require to hold such a policy depending on the terms of their clients. All liability provisions are subject to the maximum extent permitted by English law, excluding liability for death, personal injury, or fraud.

Our responsibilities

We will within an agreed time (unless otherwise specified 7 days):

A) Agree to transfer all of the staff from your employment to our employment vehicle

B) Manage the payroll in full compliance with HMRC rules

C) Provide you copy pay slips and copies of submissions to HMRC

D) Provide sample welcome letters

E) Provide training to your staff if this option is selected

F) Prepare Tax and National Insurance contributions per employee.

G) Ensure all other deductions have been made in accordance with statutory regulations e.g. student loans, CSA, fines, government deductions etc.

H) Help monitor and calculate leave entitlements and sickness for all employees if required.

I)  Prepare all necessary documentation where required including P45’s, P60’s, etc.

J) Make statutory payments when required e.g. SSP, SMP, and SPP etc.

K) Ensure Auto enrolment deductions and submissions

Client Obligations

Within an agreed time (7 days if not otherwise agreed) the Company will provide N & Z Building Ltd T/A Anchor Workforce Solutions Ltd all necessary payroll data sufficient to set up a payroll scheme and facility for the Company’s former staff. This will include without limitation –

1) Provide a full list of employees, including their N.I. and existing payroll numbers.

2) Each employee current bank account details.

3) Provide complete documentation regarding the employees as and when requested.

4) Advise N & Z Building Ltd T/A Anchor Workforce Solutions Ltd of any employees leaving and starting immediately within the transfer

5) Provide copies of the company’s Public and Employer’s Liability Insurance. All liability provisions are subject to the maximum extent permitted by English law, excluding liability for death, personal injury, or fraud.

6) Provide details of any AOEs, CSA, SMP, SSP etc. including paid to date information.

7) Submit employee hours within pay date guidelines provided by the Employer of Record including any absences relating to sickness, holidays or any other circumstances.

8) Report any change in circumstances regarding employees i.e. employment status, change of address, change of name etc.

9) Issue employees with payslips provided to you, together with wages as indicated only where the Client acts as the agent for N & Z Building Ltd T/A Anchor Workforce Solutions Ltd.

10) Issue employees with P60’s and P45’s when necessary or as instructed only where the Client acts as processing agent for N & Z Building Ltd T/A Anchor Workforce Solutions Ltd.

11) Ensure all invoices are paid promptly within the allotted credit terms.

12) Abide by all HR law with the ongoing management of the staff to avoid financial liability. All liability provisions are subject to the maximum extent permitted by English law, excluding liability for death, personal injury, or fraud.

Client Responsibilities

A) The Client confirms they have provided all necessary information required for N & Z Building Ltd T/A Anchor Workforce Solutions Ltd;

B) The Client has agreed a start date for transfer

C) The Client confirms they have conducted and are satisfied with all necessary due diligence checks;

D) Other than entering into a formal Insolvency or Scheme of Arrangement the Client confirms that they will not withdraw, delay or otherwise seek to revoke, determine, or cancel this agreement at least before the first payroll run for any reason other than that stated herein;

E) The Client will provide ongoing weekly, four-weekly, fortnightly or monthly payroll data accurately and in a timely fashion;

F) The Client will pay all invoices correctly submitted by the Employer of Record plus VAT at the appropriate rate on presentation by return.

The Contract Term and Insurance

The total number of Staff including (Directors / Partners / Employees / Workers / Part-Time or Temporary Staff) serviced by this Agreement at the time of signing is as noted in the attached memorandum. The total approximate Gross Annual Payroll including (Directors / Partners / Employees / Workers / Part-Time or Temporary Staff) serviced by this Agreement at the time of signing is as set out in the attached memorandum

Principal Terms

A) This Agreement will run for the duration of the Initial Contract Period of 1 year with provision for early termination if for any reason N & Z Building Ltd T/A Anchor Workforce Solutions Ltd fails in any material way to meet their obligations under this Agreement or the Company fails to pay an invoice properly rendered by the Employer of Record. Notwithstanding this, the client may terminate this agreement with 30 days’ notice at any time in which case, the staff will be transferred back automatically to the employment of the Client.

B) This Agreement shall automatically renew for 1 year at the end of the Initial Contract Period unless terminated by either party by giving at least 30 days written notice prior to the end of the Initial Contract Period or of any subsequent renewal period.

C) The timely payment of all invoices properly rendered by N & Z Building Ltd T/A Anchor Workforce Solutions Ltd to the Client shall be the essence of this Agreement.

D) Failure to pay an invoice rendered by the Employer of Record in a timely fashion to the Company will result in all PAYE, NI, VAT, Interest and penalties for late payment thereof being the sole, responsibility of the Client.

E) Copyright of all documentation provided pursuant to this Agreement is reserved by N & Z Building Ltd T/A Anchor Workforce Solutions Ltd, without whose written permission it may not be reproduced or modified.

Service Agreement

By signing this contract, I confirm that I have read and understood the contents of the terms and conditions.

Governing Law and Jurisdiction

This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.
